VoiceFold is operated by CodeSper LLC (“CodeSper,” “we,” “our,” or “us”).
These Terms and Conditions (“Terms”) govern your access to and use of the VoiceFold mobile application, related website pages, and associated services (collectively, “VoiceFold” or the “Service”).
By downloading, installing, accessing, or using VoiceFold, you agree to these Terms. If you do not agree to these Terms, do not use VoiceFold.
1. VoiceFold Services
VoiceFold provides tools that may include:
Audio recording and upload
Speech-to-text transcription
Live transcription
AI-assisted summaries and insights
Ask AI features
Speaker-related features
Organization and categorization tools
Export functionality
Cloud synchronization and restoration
Optional platform-specific backup functionality
Other related features
Available features may vary depending on your account type, subscription status, device, operating system, location, app version, internet connection, third-party service availability, and technical limitations.
We may introduce, modify, limit, replace, suspend, or discontinue features from time to time, subject to applicable law and any commitments associated with a paid subscription.
2. Eligibility
You must be at least 13 years old to use VoiceFold.
If you are under the age of legal majority where you live, you may use VoiceFold only with the permission of a parent or legal guardian where such permission is required.
If you use VoiceFold on behalf of a company, employer, organization, or other entity, you represent that you have authority to use the Service on its behalf and to accept these Terms as applicable to your use.
VoiceFold is not directed to children under 13.
3. Accounts and Guest Access
VoiceFold may allow you to use the Service as a guest or by signing in with supported account providers such as Apple or Google.
Guest access may be limited.
Guest information may be associated with an anonymous account, device, application storage, or guest identifier.
Some guest information may not be recoverable if you:
Delete VoiceFold
Clear application data
Change devices
Lose access to the guest session
Delete guest information
Signing in with a supported account may enable additional synchronization, restoration, subscription, or account-management functionality.
You are responsible for maintaining reasonable security over your device, Apple account, Google account, and VoiceFold account.
You may not allow another person to access VoiceFold through your account in a way that violates these Terms or applicable law.
4. License to Use VoiceFold
Subject to these Terms, CodeSper grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use VoiceFold for lawful personal or business purposes.
Your use must comply with applicable Apple App Store, Google Play, device, operating-system, and other platform usage rules.
This license does not transfer ownership of VoiceFold or any CodeSper intellectual property to you.
You may not copy, sell, redistribute, sublicense, reverse engineer, circumvent, modify, or commercially exploit VoiceFold except where expressly permitted by applicable law.
5. Recording Consent and Legal Responsibility
You are responsible for complying with all laws that apply to recording, uploading, transcribing, storing, analyzing, exporting, sharing, or otherwise using audio and related content.
Recording and interception laws vary between countries, states, provinces, and other jurisdictions.
Some jurisdictions permit recording with the consent of one participant, while others may require notice or consent from all participants.
You are responsible for determining what laws apply before recording or processing a conversation.
Do not record private conversations unless you have the permission, notice, consent, or other legal authority required by applicable law.
VoiceFold does not determine whether a particular recording is lawful.
CodeSper is not responsible for your failure to obtain legally required notice, consent, permission, or authority.
6. Transcription and AI Features
VoiceFold uses automated technologies, including speech-recognition and artificial-intelligence systems, to provide certain functionality.
These features may generate:
Transcripts
Speaker-related output
Summaries
Insights
Highlights
Action items
Ask AI responses
Other automated output
Automated transcription and AI-generated results may be inaccurate, incomplete, delayed, unavailable, misleading, or unsuitable for your particular circumstances.
You are responsible for reviewing important information before relying on it.
VoiceFold does not provide legal, medical, financial, tax, professional, emergency, or other regulated professional advice.
Do not rely on VoiceFold as your sole source of information for decisions involving health, safety, legal rights, finances, emergencies, or other high-impact matters.
VoiceFold should not be used as the sole authoritative record of a meeting, conversation, instruction, commitment, or other important event.
7. User Content and Generated Output
Your Content
“User Content” means content that you provide to VoiceFold, including:
Audio recordings
Uploaded files
Prompts and Ask AI questions
Notes
Titles
Categories
Metadata you provide
Other information you submit through the Service
You retain any ownership rights that you have in your User Content.
You are responsible for ensuring that you have the rights, permissions, and legal authority required to provide User Content to VoiceFold.
Permission Necessary to Provide VoiceFold
You grant CodeSper and its service providers a limited, worldwide, non-exclusive, royalty-free license to host, copy, store, transmit, process, transform, and display User Content only as reasonably necessary to:
Provide functionality you request
Store and synchronize supported content
Generate transcripts and AI-assisted output
Maintain and secure VoiceFold
Diagnose technical issues
Prevent fraud, abuse, and misuse
Provide requested support
Comply with applicable law
Enforce these Terms
This license does not give CodeSper the right to use your recordings, transcripts, summaries, insights, or Ask AI conversations to train VoiceFold AI models or for behavioral advertising.

Generated Output
VoiceFold may generate transcripts, summaries, insights, AI responses, speaker-related information, and other results based on User Content (“Output”).
CodeSper does not claim ownership of Output generated specifically for you, except for CodeSper's underlying software, templates, interface components, trademarks, or other pre-existing intellectual property.
The legal ownership or copyright status of AI-generated material may vary depending on applicable law.
Output may not be unique. Other VoiceFold users or users of other AI services may receive similar or identical output.
We do not guarantee that Output is eligible for copyright, trademark, patent, or other intellectual-property protection.
8. Privacy
Your use of VoiceFold is also governed by the VoiceFold Privacy Policy.
The Privacy Policy explains how CodeSper collects, uses, stores, processes, shares, protects, retains, and deletes information, including:

Transcripts
AI content
Account information
Usage information
Subscription information
Device information
Analytics and diagnostic information

9. Free Access, Premium Features, and Usage Limits
VoiceFold may offer free access, paid subscriptions, promotional access, introductory offers, trials, or other plans.
Features available under a particular plan are shown in VoiceFold at the time they are offered.
Free and paid access may be subject to limits involving:
Recording duration
Transcription usage
Live transcription
AI usage
Number or type of AI requests
Export functionality
Regeneration
Storage
Guest access
Device access
Other usage restrictions
We do not guarantee unlimited transcription, unlimited AI usage, unlimited recording, unlimited storage, or unlimited access unless expressly stated for the applicable plan.
Usage limits may change over time.
For a paid subscription, we will not intentionally remove the core value of an active subscription in a manner prohibited by applicable law or applicable app-store rules.
We may use reasonable technical measures to prevent misuse, fraud, repeated exploitation of free access, circumvention of limits, or other abuse.
10. Subscriptions, Trials, Billing, and Cancellation
VoiceFold may offer auto-renewable subscriptions through the Apple App Store, Google Play, or another authorized platform.

are displayed before you complete a purchase.
Subscription availability and eligibility for free trials or introductory pricing may be determined by Apple, Google, the applicable storefront, your account history, or other eligibility rules.
Automatic Renewal
Unless otherwise disclosed, subscriptions automatically renew at the applicable subscription price and billing interval until canceled.
Your Apple App Store or Google Play account may be charged for renewal in accordance with the applicable platform's billing rules.
Cancellation
You may cancel an app-store subscription through the subscription-management settings provided by the platform through which you purchased it.
Deleting VoiceFold does not automatically cancel an active subscription.
Unless applicable law or platform rules provide otherwise, canceling generally prevents future renewal while allowing Premium access to continue through the remainder of the already-paid billing period.
Trial users who do not want a trial to convert to a paid subscription must cancel before the applicable trial or introductory period ends in accordance with the relevant platform's rules.
11. Refunds
Purchases made through the Apple App Store are generally subject to Apple's applicable billing and refund rules.
Purchases made through Google Play are subject to Google's applicable billing and refund rules and any refund obligations imposed on CodeSper by applicable law.

When the purchase was made

CodeSper does not control all refund decisions made directly by Apple or Google.

12. iCloud and Platform-Specific Features
On supported Apple devices, VoiceFold may offer optional functionality that allows eligible audio to be saved to your personal iCloud storage.

Any settings required by VoiceFold
VoiceFold cannot guarantee the availability, synchronization, recovery, or continued operation of iCloud or other platform-provided services.
Apple, Google, and other platform providers may change, limit, interrupt, or discontinue platform functionality outside CodeSper's control.
13. Acceptable Use
You agree not to use VoiceFold to:
Violate any law or regulation
Record another person without legally required consent, notice, or authority
Violate another person's privacy or intellectual-property rights
Upload or process content that you do not have the right to use
Harass, threaten, stalk, defame, exploit, impersonate, or harm another person
Commit fraud or facilitate unlawful activity
Create, store, distribute, or facilitate illegal or abusive content
Attempt to circumvent subscription restrictions, guest limits, usage limits, or fraud-prevention controls
Interfere with or disrupt VoiceFold or its infrastructure
Introduce malware, malicious code, or harmful automated requests
Attempt unauthorized access to VoiceFold systems, accounts, APIs, databases, or infrastructure
Scrape, crawl, probe, or access VoiceFold using unauthorized automated systems
Reverse engineer or extract source code except where applicable law expressly permits it
Use VoiceFold to misrepresent AI-generated output as verified, official, human-reviewed, or professionally certified when it is not
Use VoiceFold in a manner that creates unreasonable risk to CodeSper, users, service providers, or third parties
We may investigate suspected violations and may restrict or suspend access when reasonably necessary to protect the Service or others.
14. Third-Party Services
VoiceFold relies on third-party providers for functions that may include:
Cloud infrastructure
Authentication
Speech transcription
Artificial-intelligence processing
Subscription and entitlement management
Analytics
Diagnostics
Security
App-store functionality
Platform services
The availability and operation of VoiceFold may be affected by third-party outages, changes, limitations, or discontinuation.
Third-party services may be governed by their own terms and privacy policies.
You must comply with applicable third-party terms when using VoiceFold, including Apple, Google, iCloud, network, wireless-data, and app-store terms where applicable.
Our use of providers that process personal information on our behalf is further described in the VoiceFold Privacy Policy.
15. Exporting and Sharing Content
VoiceFold may allow you to export, copy, download, or share content.
You are responsible for choosing where exported content is sent and who receives it.
Once content leaves VoiceFold at your direction, third-party applications, devices, recipients, storage providers, or services may process it under their own terms and privacy practices.
CodeSper is not responsible for actions taken by third parties after you intentionally export or share content with them, except where applicable law provides otherwise.
16. App Store and Platform Terms
Apple App Store
If you download VoiceFold from the Apple App Store, your use is also subject to Apple's applicable terms and usage rules.
These Terms are between you and CodeSper, not Apple.
CodeSper, not Apple, is responsible for VoiceFold, its maintenance and support, subject to applicable law and Apple's applicable terms.
To the extent these Terms operate as a license applicable to an Apple-distributed version of VoiceFold, Apple and its subsidiaries are intended third-party beneficiaries of the applicable Apple-specific provisions and may enforce those provisions as permitted by Apple's requirements.
Google Play
If you obtain VoiceFold through Google Play, your use of Google Play and purchases through Google Play are also subject to Google's applicable terms and policies.
These Terms are between you and CodeSper, not Google, except for rights or obligations separately established under Google's own terms.
If an applicable app-store rule conflicts with these Terms, the mandatory platform rule will control to the extent required.
17. Availability and Changes to VoiceFold
VoiceFold may occasionally be unavailable because of:
Maintenance
Updates
Network failures
Third-party service outages
Platform changes
Security incidents
Technical problems
Events outside our reasonable control
We do not guarantee that VoiceFold will always be available, uninterrupted, error-free, or compatible with every device or service.
We may modify, improve, replace, suspend, or discontinue features.
Where applicable law requires advance notice concerning material changes to paid services, we will provide the notice required by law.
18. Security
We use reasonable technical and organizational safeguards designed to protect VoiceFold and information processed through the Service.
No application, network, system, cloud provider, account, encryption method, or storage system can guarantee absolute security.
You are responsible for taking reasonable measures to secure:
Your device
Your account credentials
Your Apple or Google account
Access to exported content
Any device or service used with VoiceFold
If you believe your VoiceFold account or data has been accessed without authorization, contact us at:
19. Data and Account Deletion
VoiceFold may allow you to:
Delete individual recordings or content
Move eligible content to Recently Deleted
Permanently delete eligible content
Delete guest data
Delete your account
Content moved to Recently Deleted may remain recoverable for up to 30 days before permanent deletion, unless you permanently delete it sooner where that option is available.

Certain information may be retained where reasonably necessary or permitted by applicable law, including for:
Fraud prevention
Security
Legal compliance
Accounting
Subscription or transaction records
Dispute resolution
Backup systems
Enforcement of these Terms
Deleting your VoiceFold account does not automatically cancel an active Apple App Store or Google Play subscription.
You must separately cancel your subscription through the platform where you purchased it.

Source code
Application design
User interface
Branding
Logos
Graphics
Documentation
Proprietary technology
Features
Templates
Website content
is owned by CodeSper LLC or its licensors and is protected by applicable intellectual-property laws.
Except for the limited license granted under these Terms, no rights in VoiceFold are transferred to you.
“VoiceFold,” CodeSper branding, and associated logos may not be used without permission except where permitted by law.
21. Feedback
If you voluntarily provide feedback, suggestions, feature ideas, bug reports, comments, or other recommendations concerning VoiceFold, you permit CodeSper to use that feedback without restriction or compensation to you.
This does not give CodeSper ownership of your recordings, transcripts, or other User Content.
22. Suspension and Termination
You may stop using VoiceFold at any time.
We may restrict, suspend, or terminate access to VoiceFold where reasonably necessary because:
You violated these Terms
You used VoiceFold unlawfully
You attempted to bypass usage, subscription, or security restrictions
Your use creates security or legal risk
Your use threatens other users, service providers, CodeSper, or third parties
We are required to do so by law
Continuing to provide the account would create unreasonable technical or security risk
Where appropriate and reasonably possible, we may provide notice before termination.
Termination does not automatically create a right to a subscription refund except where required by applicable law or platform policy.
Sections that by their nature should survive termination will continue to apply, including provisions regarding intellectual property, User Content permissions already necessary to complete processing or deletion, disclaimers, liability, disputes, and legal obligations.
23. Disclaimers
VoiceFold is provided on an “as is” and “as available” basis.
To the maximum extent permitted by applicable law, CodeSper disclaims warranties not expressly stated in these Terms, including implied warranties of:
Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy
Availability
Reliability
Uninterrupted operation
We do not guarantee that:
Transcripts will be accurate
Speaker identification or separation will be correct
AI-generated output will be accurate or complete
VoiceFold will meet every particular need
Content will always be recoverable
Third-party services will remain available
Nothing in this section excludes warranties or consumer protections that cannot legally be excluded.
24. Limitation of Liability
To the maximum extent permitted by applicable law, CodeSper LLC and its owners, employees, contractors, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to VoiceFold.
This may include losses involving:
Data
Profits
Revenue
Business opportunities
Goodwill
Device problems
Subscription issues
Recording failures

Reliance on automated output
To the maximum extent permitted by applicable law, CodeSper's total aggregate liability for claims arising from or related to VoiceFold will not exceed the greater of:
The amount you paid to CodeSper or through an applicable app store for VoiceFold during the three months immediately before the event giving rise to the claim; or

These limitations do not apply where applicable law prohibits their application.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
25. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless CodeSper LLC and its owners, employees, contractors, affiliates, and licensors from third-party claims, liabilities, losses, and reasonable expenses arising from:
Your unlawful use of VoiceFold
User Content that violates another person's rights
Your violation of these Terms
Your violation of recording or consent laws
Your violation of intellectual-property or privacy rights
Your intentional misuse of the Service
This section does not apply to the extent such indemnification is prohibited by mandatory consumer law.
26. Mandatory Consumer Rights
Nothing in these Terms is intended to waive, restrict, or exclude rights that cannot legally be waived under applicable consumer-protection law.
If you reside in a jurisdiction that provides mandatory consumer rights, those rights continue to apply regardless of anything inconsistent in these Terms.
This may include rights relating to:
Digital services
Subscription cancellation
Refunds
Warranties
Withdrawal periods

27. Governing Law and Disputes

28. Export and Legal Compliance

You represent that your use of VoiceFold is not prohibited by applicable United States laws or other laws that legally apply to you.
We may restrict availability of VoiceFold in particular countries or regions where required by law, platform requirements, sanctions, technical restrictions, or business considerations.
29. Changes to These Terms
We may update these Terms from time to time to reflect:

31. No Waiver
If CodeSper does not enforce a provision of these Terms immediately, that does not mean CodeSper has waived the right to enforce it later.
32. Assignment
You may not assign or transfer your rights or obligations under these Terms without CodeSper's written permission, except where applicable law provides otherwise.
CodeSper may transfer these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or similar business transaction, subject to applicable law.
33. Entire Agreement
These Terms, together with the VoiceFold Privacy Policy and any additional terms presented for a particular feature, purchase, promotion, or service, constitute the agreement between you and CodeSper concerning your use of VoiceFold.
If additional terms expressly conflict with these Terms regarding a specific feature or transaction, the additional terms control for that feature or transaction.
